The registered agent services provided by CGA Admin, LLC,
a Georgia limited liability company (“CGA Admin”),
are provided pursuant to the terms of use set forth on this
webpage (“Terms of Use”), in effect at the time
you submit your order for these services. CGA Admin may unilaterally
modify the Terms of Use at any time by modifying these Terms
of Use displayed at www.cgaadmin.com, and such modifications
shall be effective upon the renewal of the term of service.
Your permission to use and view of this Website is contingent
upon your agreement to these terms and conditions.
Defined Terms.
“You” or “Your” or the like (whether
or not capitalized) means the entity for whom CGA Admin provides
registered agent services, except where expressly indicated
to refer to the individual acting on behalf of such entity
(e.g., “you (the individual) represent and warrant you
are authorized to order the services on behalf of the Entity”).
“Entity” means the entity for whom CGA Admin will
act as registered agent. “We”, “Us”,
“Our” or the like refers exclusively to CGA Admin

CGA Admin acts as Your registered agent in Cobb County, Georgia
with a registered agent address of 1000 Johnson Ferry Road,
Suite A-125, Marietta, Georgia 30068. CGA Admin will forward
you materials it receives as Your registered agent. CGA Admin
will communicate primarily via email, unless You request otherwise
in writing or via email. When CGA Admin receives correspondence
as Your registered agent, CGA Admin converts the correspondence
into PDF format and emails You the PDF file constituting such
correspondence. Upon Your request, and at Your sole cost in
addition to the registered agent fee, CGA Admin will mail
or fax You the original correspondence. CGA Admin does not
provide legal services or other services than serving as registered
agent (even though CGA Admin is owned by an attorney). Additionally,
no affiliate, owner, officer or manager of CGA Admin provides
any services to You.
Term, Termination & Renewal.
The term of this Agreement is for the current calendar year
of appointment, and such term shall automatically renew for
subsequent calendar years unless you provide written notice
at least 30 days prior to the expiration of the current term.
Each party to this Agreement may terminate the Agreement at
any time for any reason, yet there shall be no refund to You
when you terminate the Agreement, but there will be a pro-rata
refund to You if CGA Admin terminates this Agreement mid-term.
Permission to Use the Information on this Website.
CGA Admin grants You a limited license to display the contents
of this site on Your computer and print, download and use
the materials on this site solely for Your internal use for
the purpose of considering or receiving CGA Admin’s
registered agent services, provided that the contents of the
site are not modified in any way and that all copyright and
other notices are maintained.
Content, Copyrights and Trademarks.
The content of this Website, such as text, graphics, images,
logos, button icons, and other content (as defined below)
(collectively, “Material”) is protected under
both United States and foreign copyright, trademark and other
laws. All Material is the property of CGA Admin, its content
suppliers or licensors. The compilation (meaning the collection,
arrangement and assembly) of all content on this Website is
the exclusive property of CGA Admin and protected by U.S.
and international copyright laws. Unauthorized use of the
Material may violate copyright, trademark, and other laws.
You must retain all copyright, trademark, service mark and
other proprietary notices contained in the original Material
on any copy you make of the Material. You may not sell or
modify the Material or reproduce, display, publicly perform,

for any claims arising under this agreement shall lie exclusively
with the state or federal courts within Georgia, and the Entity
hereby consents to the jurisdiction of Georgia and such courts.
If any provision of these Terms and Conditions are found to
be invalid by any court having competent jurisdiction, the
invalidity of such provision shall not affect the validity
of the remaining provisions of these Terms and Conditions,
which shall remain in full force and effect. No waiver of
any term of these Terms and Conditions shall be deemed a further
or continuing waiver of such term or any other term. Except
as expressly provided otherwise in writing by the parties,
these Terms and Conditions constitute the entire agreement
between you and CGA Admin with respect to the use of Website
or the Materials.
